Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and local ("local," "we," "us," or "our") and govern your use of this waitlist website and the Local mobile app, together with any related features and content (the "Service"). Please read them carefully.
Sections are tagged so you can see what applies to you: Website applies if you only join the waitlist; App applies once you use the Local app.
1. Acceptance of these Terms
By joining the waitlist, creating an account, or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Eligibility
You must be at least 13 years old to use the Service, and old enough to form a binding contract where you live. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement of a parent or legal guardian. By using the Service you represent that you meet these requirements and that you are not barred from using it under applicable law.
3. The waitlist Website
The waitlist lets you express interest in Local before launch. Joining the waitlist does not guarantee access to the Service, a launch date, or pricing, and we may contact you about the product as described in our Privacy Policy. We may add, change, prioritize, or remove waitlist entries at our discretion.
4. Your account App
To use the app you may need to create an account using your phone number and a one-time verification code. You are responsible for the activity that occurs under your account and for keeping access to your phone and account secure. Notify us promptly at info@eatwithlocal.com if you believe your account has been compromised. We may suspend or terminate accounts as described in Section 14.
5. License to use the Service
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial use. We reserve all rights not expressly granted.
6. Acceptable use
You agree not to:
- Use the Service in any unlawful way or for any unlawful or harmful purpose;
- Copy, scrape, crawl, harvest, or systematically extract data or content from the Service, or use it to build or train a competing product, dataset, or model;
- Reverse engineer, decompile, or attempt to derive source code, except where that restriction is prohibited by law;
- Interfere with, disrupt, overload, or probe the Service or its infrastructure, or bypass any security or rate-limiting measure;
- Submit false information, impersonate others, or add another person's contact information to a group plan without their permission;
- Upload or transmit anything unlawful, infringing, defamatory, harassing, hateful, or otherwise objectionable, or any malware;
- Use the Service to send spam or unsolicited messages, or to violate the rights or privacy of others.
7. Your content App
The Service may let you submit content, for example chat messages, preferences, feedback, saved places, and group-plan details ("User Content"). You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting and display), and use your User Content to operate, provide, secure, and improve the Service. You represent that you have the rights necessary to submit your User Content and that it does not violate these Terms or any third party's rights. We may remove User Content that we reasonably believe violates these Terms or the law.
8. Recommendations are informational only
Local surfaces restaurants, dishes, menus, hours, prices, and other information drawn from public sources, third parties, and our own analysis, and generates suggestions using automated systems including AI. This information may be incomplete, out of date, or inaccurate.
The Service does not provide medical, dietary, nutritional, health, or other professional advice. Recommendations are suggestions only. Always confirm allergen, ingredient, dietary, hours, pricing, and availability information directly with the restaurant before relying on it, especially if you have a food allergy or medical condition. You are solely responsible for your dining decisions, and we are not responsible for the acts, omissions, food, or service of any restaurant or third party.
9. Third-party services and content
The Service relies on and links to third parties (for example Google Maps Platform, mapping and place data, restaurant websites and menus, and SMS delivery). We do not control and are not responsible for third-party services, content, or terms, and your use of them may be governed by their own agreements. Third-party names, logos, menus, and marks belong to their respective owners.
10. Intellectual property
The Service and its content (excluding User Content and third-party content), including the "local" name and logo, the Local Score, software, text, design, and graphics, are owned by us or our licensors and protected by intellectual-property laws. Except for the license in Section 5, these Terms do not grant you any right in our intellectual property. You may not use our name, logo, or branding without our prior written permission.
11. Beta and changes to the Service
The Service is pre-launch and offered on an early-access / beta basis. It may contain errors, may change frequently, and may be incomplete. We may add, modify, suspend, or discontinue all or part of the Service, and may set, change, or remove features, limits, or fees, at any time and without liability to you.
12. Disclaimer of warranties
We work hard to make Local useful, but we can't promise it will be perfect. The Service and its recommendations are provided "as is" and "as available." To the extent the law allows, we don't make warranties (express or implied) such as merchantability, fitness for a particular purpose, title, or non-infringement, and we can't guarantee the Service will be uninterrupted, secure, error-free, or accurate, or that any recommendation will be right for you.
Some places don't allow certain warranty exclusions, so parts of this may not apply to you.
13. Limitation of liability
To the extent the law allows, local and the people who work on it won't be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or relating to the Service. Our total liability for any claims relating to the Service is limited to the greater of what you paid us in the prior twelve months or one hundred U.S. dollars ($100).
Some places don't allow certain liability limits, so parts of this may not apply to you, and nothing here limits liability that can't be limited under applicable law.
14. Suspension and termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or to protect the Service or other users. You may stop using the Service at any time, and (in the app) delete your account. Sections that by their nature should survive termination (including those on your content, disclaimers, limitation of liability, governing law, and these general terms) will survive.
15. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of- laws rules. Any dispute relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. General
These Terms, together with the Privacy Policy, are the entire agreement between you and local regarding the Service. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
